Terms of Sale

1. These terms control

Placing an order means you accept these terms. They are the entire agreement on the subject and replace anything said earlier.

Your purchase order does not change them. If your PO or supplier portal carries different printed terms, those terms do not apply unless we have signed a separate agreement with you. We record your PO number on the invoice for your accounting convenience only. Where a signed supply agreement exists between us, that agreement controls and these terms fill any gap.

Custom and made-to-order work is not sold through this store. If you need a part built to your own drawing, write to sales@stratoslaser.com and we will quote it separately under terms agreed for that job.

2. Products and specifications

Each product is sold to the specification published on its product page at the time you order: outside diameter, inside diameter, wall, length, cut pattern and material. That published specification is the whole of what we promise about the part.

Figures the site marks experimental, including minimum bend radius, are engineering guidance produced by a model. They are not part of the specification and are not warranted. Do not rely on them for a design decision without confirming with us in writing.

Product images and 3D renders are representative. They show catalog geometry, not the individual lot you receive.

We may correct pricing or specification errors on the site at any time, including after you order. If a correction affects your order we will tell you before shipping and you may cancel for a full refund.

3. Orders, prices and payment

Submitting an order creates a request to buy. A binding contract forms when we confirm the order or ship it, whichever happens first. We may decline any order, including where stock has run out, where a price was listed in error, or where we cannot verify who you are.

4. Delivery, title and risk

Shipping estimates are estimates, not guarantees, and start when we confirm the order. We are not liable for carrier delay.

Delivery is FOB our facility. Title and risk of loss pass to you when the goods are handed to the carrier. Freight is billed at the carrier's actual rate, or to your own carrier account when you provide one; we do not mark freight up. We may ship in instalments.

5. Inspection and claims

Inspect goods on arrival. Claims for shortage, visible damage or non-conformance must reach us within 15 days of delivery, in writing, quoting the order number and the lot number on the package. Goods not rejected within that window are accepted.

6. Limited warranty

We warrant that for 12 months from delivery the goods will conform to the specification published for that product and be free from defects in material and workmanship.

This is the only warranty we give. We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Your sole remedy under this warranty is, at our option, replacement of the non-conforming goods or a refund of what you paid for them. The warranty does not cover normal wear, parts that have been cut, formed, coated, cleaned, sterilized or otherwise processed after they left us, damage from handling or installation, or use outside the published specification.

7. Components, not devices

We sell components. We do not sell finished medical devices, and nothing in this store is cleared, approved or registered for clinical use.

If you incorporate our parts into a medical device, you are the device manufacturer and you alone are responsible for design controls, biocompatibility, cleaning and sterilization validation, risk management, regulatory clearance or approval in every market where the device is sold, labelling, post-market surveillance, and complaint and adverse-event reporting.

Parts are supplied in as-cut condition. They are not cleaned, passivated, sterile or pyrogen-free unless the product page says so. We make no representation that any part is suitable for implantation or for contact with tissue or blood. Determining suitability for your application is your responsibility.

A certificate of conformance is available on request for any lot. Material certifications, inspection reports and first-article inspection can be quoted separately; ask before ordering, as they affect price and lead time.

8. Intellectual property

We keep all rights in our products, designs, manufacturing know-how, cutting programs and process parameters. Buying a part transfers ownership of that part and nothing else. You may not copy our designs, or reverse engineer our parts to reproduce them.

9. Limitation of liability

We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, recall costs, cost of substitute goods, damage to reputation, or business interruption, however caused and on any theory of liability, even if we have been advised of the possibility.

Our total liability arising out of or relating to any order will not exceed the amount you actually paid us for the goods giving rise to the claim.

Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud, for gross negligence or wilful misconduct, or for personal injury caused by our negligence. Any claim relating to an order must be brought within one year of the delivery it relates to.

You acknowledge that our prices reflect this allocation of risk.

10. Indemnity

You will defend, indemnify and hold us harmless against claims, damages and costs arising from your use, sale or incorporation of the goods into any device or system, from your regulatory obligations, and from any processing or alteration of the goods after delivery.

11. Export control

Goods may be subject to US export control laws. You agree not to export, re-export or transfer them in violation of those laws, and you confirm you are not a restricted party or acting on behalf of one.

12. Force majeure

Neither of us is liable for failure or delay caused by events beyond reasonable control, including material shortages, supplier failure, utility or equipment failure, labour disputes, transport disruption, natural events, epidemic, war, terrorism, cyber attack, or acts of government.

13. General

These terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply. The exclusive venue for any dispute is the state or federal courts located in Yolo County, California, and each of us consents to that jurisdiction.

You may not assign an order without our written consent. If a provision is held unenforceable, the rest stands. Failing to enforce a term is not a waiver of it. Sections 6 through 11 survive the end of this agreement.

We may update these terms. The version that applies to your order is the one you accepted at checkout, which we record with your order.
